Using the SPlus Fund platform means accepting these terms. The same document is available inside your account.

1Introduction and acceptance
This document sets out the terms on which the SPlus Fund platform may be used. Using the platform — including creating an account, depositing, withdrawing, transferring assets or placing an order — means you have read and accepted these terms in full.
- If you do not agree with all or part of these terms, do not create an account and do not use the platform.
- These terms, together with the guidance and messages shown inside the platform for each service, form a single set of rules.
- The platform may be used only by persons who, under applicable law, have the capacity to trade and to enter into obligations.
- You confirm that you understand the nature of the assets traded on the platform and that their value can move, and that you use the services with that understanding.
2Definitions
In this document, the following terms have the meanings below:
- Platform: the SPlus Fund web and mobile applications and the services provided through them.
- User: a person who has created an account on the platform or uses its services.
- Account: the user's own record, including identity information, wallets, orders and transaction history.
- Wallet: where the user's balance is recorded for each asset separately, split into available and reserved balance.
- Reserved balance: the part of a balance that cannot be used because it is committed to an open order, a withdrawal in progress or an operational review.
- Order: a user's request to buy or sell an asset, which enters the matching process once placed.
- Fee: the amount charged for executing a trade or for other services, according to the platform's current configuration.
- Identity verification: the process of confirming the user's identity and the accuracy of the information they have provided, before certain services become available.
3Creating and using an account
Each user may hold one account only, and an account is created for the personal use of its holder.
- An account is created with a mobile number belonging to the user, and sign-in uses the platform's own authentication mechanisms.
- Transferring, renting, selling or otherwise giving another person access to an account is prohibited, and the account holder is responsible for everything done through it.
- Using an account to trade on behalf of, or for the benefit of, a third party is not permitted without declaring it and obtaining the platform's agreement.
- You must keep your contact details, including mobile number and email address, up to date; the platform's notices are sent through them.
- The platform may require additional steps before granting access to particular services, for account security or to meet legal requirements.
4Identity verification and accuracy of information
Some services, including withdrawals, become available only after identity verification has been completed and the user's information confirmed.
- You must provide accurate, complete information that belongs to you; providing false information, or information belonging to someone else, is a breach of these terms.
- The platform may use identity and banking inquiry services to confirm the information provided.
- Any bank account, IBAN or bank card registered must be in the account holder's own name; withdrawals are not possible otherwise.
- Where the information provided does not match the result of an inquiry, the platform may suspend the related services until the discrepancy is resolved.
- You are responsible for any loss arising from information you provide that is inaccurate or incomplete.
5Account security, password and two-factor authentication
Protecting your sign-in credentials is first and foremost your responsibility. The platform provides security tools, but they cannot replace your own care.
- Passwords, one-time passwords and verification codes are confidential and must never be shared with anyone, including people presenting themselves as platform staff.
- The platform offers two-factor sign-in, and enabling it is recommended to strengthen account security.
- You can review the active sessions on your account and end any of them.
- If you notice any suspicious activity, report it through the support channels at the earliest opportunity.
- Losses arising from your disclosure of sign-in credentials, or from failing to keep them safe, are your responsibility.
6Wallets and holding assets
Each asset's balance is recorded in the user's wallet separately, and is shown at all times split into available and reserved balance.
- The balance shown is calculated from the records held in the platform's ledgers, and those records are the basis for settlement.
- Any part of a balance committed to an open order or a withdrawal in progress cannot be used until that item is resolved.
- The platform may set a display precision and a calculation precision for each asset; amounts are recorded and shown on that basis.
- This document does not create any separate custody or trust arrangement over user assets; such an arrangement exists only where it has been stated separately and in writing.
7Deposits
Deposits are made through the routes the platform has enabled for each asset, which may include an online payment gateway or submitting a bank receipt for review.
- A deposit must come from a bank account belonging to the user; payments from other people's accounts are not accepted.
- A wallet is credited once payment has been confirmed; until then the transaction stays pending or under review.
- For deposits submitted as a bank receipt, crediting depends on review and approval by staff.
- If the payment gateway errors or the connection drops, the final state of the transaction is determined from the gateway's response and from re-querying it.
- The platform may set a minimum amount and operational limits for deposits; these are shown on the relevant screen.
8Withdrawals
Once submitted, a withdrawal request enters a review and payment process, and the requested amount is deducted from the available balance and reserved until the request is resolved.
- Withdrawals are paid only to a verified bank account belonging to the account holder.
- Withdrawals require completed identity verification and the security steps set for them.
- When the funds reach the destination account depends on banking-network procedures and timing, which are outside the platform's control.
- The platform may hold a withdrawal for further review, or reject it where there is a discrepancy, an ambiguity or a suspicion of misuse; if it is rejected, the reserved amount is released.
- The platform may set minimum and maximum amounts and periodic limits for withdrawals.
9Asset transfers
Where this service is enabled, a user may transfer an asset to another account on this same platform.
- You are responsible for the accuracy of the transfer destination; once recorded in the platform's ledgers, a completed transfer cannot be reversed unilaterally.
- The platform may set a minimum amount and other limits per transfer, and may hold a transfer for review where there are grounds for suspicion.
- Transferring assets in order to circumvent account restrictions, identity verification or applicable limits is prohibited.
10Placing, matching, executing and cancelling orders
Once placed, an order enters the matching process. Placing an order does not by itself mean it has been executed.
- The balance required for an order must be available in your wallet; it is reserved until the order is executed or cancelled.
- An order may be filled in full, filled partially, or not filled at all; execution depends on a counterparty being available and on market conditions.
- The platform may set a minimum quantity or a minimum value per asset; an order that does not meet it will not be accepted.
- You may cancel an order that has not been executed; any part already executed before cancellation cannot be undone.
- The platform may temporarily stop accepting new orders in particular technical or operational circumstances.
11Trading and market volatility
The value of the assets traded on the platform can rise or fall sharply over short periods. The decision to buy or sell is the user's own.
- The platform gives no guarantee of profit, of preservation of capital, of any particular return, or of liquidity at any particular price.
- The information, charts and reports shown on the platform are provided for information only and do not constitute investment advice or a recommendation.
- Losses arising from price movements are the user's responsibility.
- You accept that you have considered the terms and risks of a trade before carrying it out.
12Fees
Fees are charged for executing trades and for certain other services. Fee rates are set and applied by the platform.
- Fee rates may differ per asset and per type of operation, and may be changed by the platform.
- Fees are calculated and applied when a trade is executed, and appear in the user's transaction history.
- Amounts shown before an order is confirmed are an estimate of the fee; the final amount is determined when the trade executes.
- Fees and charges levied separately by the banking network or by payment service providers are not covered by this section.
13Pricing and asset valuation
Prices and equivalent values shown on the platform are based on the price sources and settings the platform has configured for each asset.
- Showing a price, a chart, a Rial or dollar equivalent, or a profit-and-loss figure is for information only and does not in itself guarantee any price, profit, liquidity or investment return.
- The price at the moment of execution may differ from a price seen earlier; the price recorded at execution is what applies.
- For some assets the price may be set manually or taken from a specific source; that price is then the basis for display and calculation.
- Profit and loss is calculated from the user's own trade history and is an informational estimate, not a tax opinion or an audited figure.
- If price data cannot be retrieved, the displayed price for some assets may temporarily stop updating.
14Limits and temporary suspension of services
The platform aims to provide its services continuously, but does not guarantee uninterrupted availability.
- Some services may be unavailable during the end-of-day window while settlement and closing operations are carried out.
- The platform may suspend services temporarily for maintenance, updates or to resolve a fault.
- Disruption to external services — including the banking network, payment gateways, identity inquiry services and price sources — can affect the services provided.
- In particular circumstances the platform may temporarily restrict operations such as withdrawal, transfer or order placement, for all users or for a group of them.
15Failed, pending and under-review transactions
Some transactions are not resolved immediately and remain in an intermediate state until a definitive answer is received or a review is completed.
- A transaction for which no definitive answer has been received from the payment gateway is recorded as unknown, and the platform may re-query the gateway for its status.
- The result of that re-query determines the final state of the transaction; until then, money having left a bank account does not by itself mean the transaction succeeded.
- The platform may hold transactions that raise questions for review by staff, and may keep the related amounts reserved meanwhile.
- Operational reviews and state changes are recorded in the platform's internal audit records.
- Where a duplicate, mistaken or excess payment is established, the platform may correct its records and return the funds.
16User responsibilities
The user is responsible for the accuracy of their information, the security of their account, and their own financial decisions on the platform.
- You must comply with applicable law when using the services.
- The funds and assets you bring onto the platform must be of lawful origin.
- Before confirming any operation you must check its details, including the amount, the asset and the destination.
- You are responsible for the consequences of information you enter incorrectly.
- You must provide the documents needed to review an operation if the platform asks for them.
17SPlus Fund's responsibilities and limits of liability
The platform undertakes to provide the services as described in this document and on the relevant screens, and to keep users' financial records accurately.
- The platform is not responsible for losses arising from price movements, from a user's trading decisions, or from their expectations about profit.
- The platform is not responsible for losses arising from a user disclosing their sign-in credentials or from third-party access to their device.
- In respect of disruption to external services, including the banking network and payment gateways, the platform's responsibility does not extend beyond reasonable follow-up.
- Nothing in this document creates a guarantee of profit, a guarantee of capital, insurance cover, or an undertaking to deliver any particular return.
- The platform is not responsible for the content or services of third-party websites reached through links.
18Prohibited activity and misuse
The following are breaches of these terms and may lead to an account being restricted or blocked:
- Using someone else's account, or giving another person access to your own.
- Providing false or forged identity information, or attempting to circumvent identity verification.
- Using the platform for money laundering, for financing unlawful activity, or for moving funds of unlawful origin.
- Creating multiple accounts, or using automated tools, to exploit promotional, reward or cashback programmes.
- Any action that interferes with the technical integrity of the platform, with order matching, or with the accuracy of prices.
- Attempting to gain unauthorised access to internal parts of the system or to other users' information.
19Blocked and restricted accounts
In defined circumstances the platform may restrict access to some services or to an account as a whole.
- A restriction may follow a breach of these terms, an unresolved identity question, a report from a competent authority, or signs of unusual activity.
- While a restriction is in force, withdrawal, transfer or order placement may be unavailable.
- The platform will inform the user through its notification channels, except where legal requirements prevent it from doing so.
- Lifting a restriction depends on the review being completed and, where necessary, on the user providing documents.
- A restriction does not extinguish the user's lawful rights over assets that belong to them.
20Notifications and communication channels
The platform notifies users of significant account events in the app and, where enabled, by SMS or email.
- For some events you can choose which channel to receive notifications on, in settings.
- Certain notifications are security or transaction related and, because of their importance, are always sent.
- Only notifications sent through the platform's official channels are genuine; the platform will never ask you for your password or a verification code.
- Not receiving a message because a device was off, the network failed, or contact details were wrong does not relieve the user of responsibility for operations carried out on their account.
21Privacy and user information
The platform collects and keeps user information in order to provide its services, verify identity, protect account security and meet legal requirements.
- Users' identity and financial information is not given to third parties, except where necessary to provide a service or in response to a request from a competent authority.
- To verify identity and banking details, the necessary information may be sent to the relevant inquiry services.
- Sign-in records, sessions and user operations are retained for security review and for resolving disputes.
- You can view your profile information on the platform and correct the fields that are editable.
22Referral, cashback and reward programmes
The platform may run promotional programmes such as referral, cashback or gift schemes. These are not part of the core services and are promotional in nature.
- The terms of each programme — including its rate, caps, duration and eligibility rules — follow that programme's active configuration and may be changed or discontinued.
- A reward is granted only where the announced conditions of the programme have been met in full.
- The platform may cancel and reclaim rewards obtained through a breach of these terms, through artificial accounts, or by exploiting a programme.
- Running a programme in one period creates no right to its continuation or to any future programme.
- Rewards are not an undertaking by the platform to pay profit or any particular return.
23Changes to the terms, fees and services
The platform may change these terms, the list of tradable assets, fee rates and operational limits.
- The version in force is the one published on the platform, and the date it was last updated appears at the top of this page.
- Continuing to use the services after a new version is published means you accept it.
- A change to a fee rate does not apply retrospectively to trades executed before the change took effect.
- The platform may stop offering an asset or a service; if it does, how existing holdings and open orders will be handled is communicated to users.
24Requests and support
You can submit requests, questions and problem reports through the platform's support channels.
- Requests are handled in turn and according to their nature; some require review by staff and take longer.
- To follow up a financial matter, transaction details such as the transaction ID or tracking number are required.
- Where a review requires an inquiry to the banking network or a payment gateway, the response time depends on that route.
- Replies and follow-ups are made only through the official channels stated on the platform.
25Governing law and dispute resolution
These terms are governed by the laws of the Islamic Republic of Iran.
- The parties will first seek to resolve any dispute arising from these terms by discussion, through the platform's support channels.
- If no agreement is reached, the dispute will be determined by the competent judicial authorities.
- The electronic records and ledgers held by the platform may be relied upon as evidence in resolving disputes.
26Final provisions
The following govern the operation of this document as a whole:
- If any provision of this document is invalid, the remaining provisions continue in force.
- A failure to exercise one of the platform's rights immediately is not a waiver of that right.
- Section headings are for ease of reading only and play no part in interpreting this document.
- Where the Persian version and its translation differ, the Persian version governs.
